Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Uniwell Technologies LLC ("Uniwell," "we," "us," or "our"), a limited liability company registered and operating in the United Arab Emirates. By accessing or using the Uniwell mobile application, website, Apple Watch companion app, and related services (collectively, the "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Services. These Terms are governed by the laws of the United Arab Emirates, including but not limited to UAE Federal Law No. 5 of 1985 (Civil Transactions Law), UAE Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services, and applicable federal and emirate-level regulations.

2. Eligibility

• You must be at least 18 years of age to create an account and use the Services. By registering, you represent that you meet this age requirement.
• If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
• Users must comply with all applicable UAE laws and regulations, including the UAE Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Accept full responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or UAE law.

Uniwell provides a comprehensive wellness platform that includes:

• Health dashboard with real-time data synchronization from Apple Watch and HealthKit
• AI-powered meal scanning and nutritional analysis
• Social networking features (posts, stories, Reels, Waves rooms, voice and video calls)
• Menstrual cycle tracking (Harmony Cycle)
• AI wellness assistant powered by Azure OpenAI
• Pro Trainer marketplace connecting users with certified health professionals
• Gamified missions and wellness challenges
• Apple Watch companion app with custom complications

6. User Conduct & Content

When using the social features of Uniwell, you agree not to:

• Post content that is defamatory, obscene, hateful, discriminatory, or incites violence — in violation of UAE Federal Decree-Law No. 34 of 2021
• Share false or misleading information about health, medicine, or wellness
• Impersonate another person or entity
• Harass, bully, or threaten other users
• Post content that violates intellectual property rights of third parties
• Use the Services for unauthorized commercial purposes, spam, or advertising
• Attempt to reverse-engineer, decompile, or disassemble any part of the Services
• Use automated tools (bots, scrapers) to access the Services without our written permission
• Post content that is contrary to public morals or the public order of the UAE

We reserve the right to remove any content and suspend or terminate accounts that violate these rules, without prior notice.

7. Intellectual Property

All content, features, and functionality of the Services — including but not limited to the Uniwell name, logo, design, text, graphics, icons, software, and AI models — are owned by or licensed to Uniwell Technologies LLC and are protected by UAE and international intellectual property laws, including UAE Federal Law No. 38 of 2021 on Copyrights and Neighboring Rights.

You retain ownership of content you create and share through the Services. However, by posting content, you grant Uniwell a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content within the Services for the purpose of operating and improving the platform.

8. Subscriptions & Payments

Certain features may require a paid subscription ("Uniwell Pro"). By subscribing, you agree to:

• Pay the applicable fees as displayed at the time of purchase
• All prices are listed in USD or AED and include applicable UAE VAT (currently 5%) where required
• Subscriptions are processed through the Apple App Store and are subject to Apple's terms and refund policies
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period

Refund requests are handled in accordance with Apple App Store policies and applicable UAE consumer protection laws under UAE Federal Law No. 15 of 2020 on Consumer Protection.

9. Pro Trainer Marketplace

Uniwell facilitates connections between users and independent certified health and fitness professionals ("Pro Trainers"). Uniwell is not a healthcare provider. Pro Trainers are independent contractors, not employees of Uniwell. We do not guarantee the qualifications, advice, or services provided by Pro Trainers. Users engage with Pro Trainers at their own risk.

10. Limitation of Liability

To the maximum extent permitted by UAE law:

• Uniwell provides the Services on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components
• Uniwell shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services
• Our total aggregate liability for any claim arising from the Services shall not exceed the amount you paid to Uniwell in the 12 months preceding the claim

Nothing in these Terms excludes liability that cannot be excluded under UAE law.

11. Indemnification

You agree to indemnify and hold harmless Uniwell Technologies LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, including for violation of these Terms. Upon termination:

• Your right to use the Services ceases immediately
• We will handle your data in accordance with our Privacy Policy
• You may request export of your data within 30 days of termination
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and dispute resolution) will remain in effect

You may delete your account at any time through Settings → Account → Delete Account.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or relating to these Terms or the Services shall be resolved as follows:

1. Amicable Resolution: The parties shall first attempt to resolve the dispute amicably through good-faith negotiations within 30 days of written notice.
2. Mediation: If the dispute is not resolved through negotiation, the parties may submit the dispute to mediation under the rules of the Abu Dhabi Global Market (ADGM) Arbitration Centre or the Dubai International Arbitration Centre (DIAC).
3. Jurisdiction: If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the competent courts in the United Arab Emirates.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the app and via email at least 30 days before the effective date. Your continued use of the Services after the effective date constitutes acceptance of the modified Terms. If you disagree with the changes, you must stop using the Services and delete your account.

15. Force Majeure

Uniwell shall not be liable for any failure to perform its obligations under these Terms if such failure results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, war, terrorism, cyberattacks, internet outages, or power failures.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction in the UAE, the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Uniwell regarding the use of the Services and supersede all prior agreements, understandings, and communications.
